Conditions of Sale

Unless otherwise agreed in writing, all orders are accepted subject to the following conditions of sale.

1. Weights
Unless otherwise stated all metric weights mentioned in H&T Proctor price list or on packaging indicate net weight when packed.

2. Prices and Terms
Are subject to alteration without notice and goods will be invoiced at the price and upon the terms ruling at the date of collection or dispatch. All prices featured on the website include V.A.T. where applicable, unless otherwise stated. All new orders are deemed separate and each is treated individually.

3. Rebates
Or allowances, where applicable, shall be at the rate ruling allowed by H&T Proctor for the particular goods at the date of collection or dispatch, as shown on the invoice.

4. Terms of Payment
All payments are due at the time of order. Any payment taken for goods not in stock will be held awaiting delivery unless you instruct us to cancel your order with us. You must ensure that you provide the correct payment details to us so that we may secure payment. If not, your request will not be completed and will not constitute an order. We cannot be held responsible if for whatever reason, you failed to pay at the time your order was placed.

For goods delivered on pallet: unless otherwise indicated net cash on or before the 28^th day of the month following collection or dispatch.  Thereafter interest will be added at 2% per month or part of month. Cash discounts when allowable will be shown on the invoice and payment must be received by the date indicated to qualify.  H&T Proctor reserve the right to demand earlier payment at any time.

The existence of a query or any individual item in an account shall not affect the due date of the payment of the balance of the account.

5. Force Majeure
Orders are accepted subject to force majeure and subject to stock being available.

6. Pallet Goods
Goods delivered on pallets are delivered on non-returnable pallets.

7. Delivery
No guarantee is given that goods will be delivered at the time specified. Deliveries made by H&T Proctor are subject to availability of transport.

8. Passing of Risk and Retention of Title

• The risk in the goods and pallet shall pass to the buyer on delivery or place of collection as stated on the advice note.
• The goods and pallets shall remain the property of H&T Proctor until the payment has been discharged in full. A cheque given in payment shall not be treated as a discharge until cleared.

9. Liability
This site should only be used for information purposes.  We shall not be liable for any damages or loss that may occur in the use of any of the information contained or advice given on this site. We are not responsible for the site’s accuracy, although every effort has, is and will be made to ensure that the information contained is correct and up to date, nor for its fitness for a particular purpose. We do not guarantee that this site will operate free of error or that it is free from computer viruses or any other contaminating computer programme.

10. Notification of Non-Delivery, Loss or Damage to Goods
The buyer must advise H&T Proctor and the carrier in writing within the following limits:-

• Non-delivery of whole or any separate part of consignment – within 7 days of date of dispatch.
• Damaged or partial damage – within 3 days of date of delivery.
   
  H & T PROCTOR SHALL NOT BE RESPONSIBLE IN ANY CASE FOR NON-DELIVERY, PARTIAL LOSS OR DAMAGE UNLESS THE BUYER COMPLIES WITH THIS CONDITION.
   

11. Cancellation of Delivery
If the buyer shall fail to make any payment due to H&T Proctor or shall have a receiving order made against him or enter into any composition or arrangement with his creditors, or being an incorporated company shall have a Receiver appointed or shall pass a resolution for winding up, or if there shall be a breach of any of these conditions of sale, H&T Proctor may without prejudice to his rights or remedies cancel or refuse to make any further deliveries hereafter.

12. Payment Options
We accept Visa, Delta/Connect, MasterCard, Maestro and PayPal online and over the phone.  Also cheque and BACS payments for proforma invoices.

Currencies:  Only British Sterling is accepted.

13. Product Information
We will take all reasonable care to ensure that all details, descriptions and prices of products appearing on the website are correct at the time of entry onto our system. We reserve the right to refuse orders where product information has been mispublished, including prices and promotions.

14. Returns
In the event you are not satisfied with our products, simply return the item to us in its original condition within 7 days of receipt. We will issue a full refund to the original payment method (excluding original delivery charge) after inspecting the returned product. Please note that the product is your responsibility until it reaches us and would recommend the product is sent using a delivery service that insures you for the value of the goods. The cost of returning the product to us is your responsibility.

15. Use & Ownership of Website
All rights, including copyright, in the content of the www.proctorsnpk.com web pages are owned or controlled by H&T Proctor. In accessing any of the web pages, you agree that you may only download any content for your own individual and non-commercial use. You are not permitted to copy, broadcast, store (in any medium), download, transmit, show or play in public, adapt or change in any way the content of the web pages for any other purpose without the prior written permission of H&T Proctor.
